Lawyer-Specific Terms Addendum

This Lawyer-Specific Terms Addendum ("Addendum") is a legally binding agreement between you ("Lawyer," "you," or "your") and Aequitas Technologies LLC, operating as Law Hired ("Law Hired," "we," "us," or "our"). It supplements and is incorporated into our general Terms of Service. By registering as a lawyer on the Law Hired platform, you represent that you have read, understood, and agreed to all terms in this Addendum. If you do not agree, you may not register or maintain a lawyer account on the Platform. This Addendum governs your professional obligations, platform permissions, fee arrangements, use of AI features, and conduct in connection with your use of Law Hired.
1. Bar Admission and Good Standing
By registering as a lawyer on Law Hired, you represent and warrant that:
You are currently admitted to practice law in at least one U.S. state, territory, or the District of Columbia and are in good standing with the relevant bar authority.
You are not currently suspended, disbarred, or otherwise subject to a disciplinary order that restricts your ability to practice law.
All information you provide during registration, including your bar number, jurisdictions, practice areas, and professional history, is accurate and complete.
You will promptly update your profile and notify Law Hired within five (5) business days if your bar status changes in any material way, including admission to new jurisdictions, voluntary resignation, suspension, disbarment, or reinstatement.
Law Hired reserves the right to verify your bar admission at any time through third-party bar verification services or direct inquiry with state bar authorities. Providing false bar admission information is a material breach of this Addendum and may result in immediate termination, fee forfeiture, and referral to the relevant bar authority.
2. Jurisdictional Practice
You agree to accept and provide legal representation only in jurisdictions where you are duly licensed to practice law. You are solely responsible for determining your jurisdictional authority before accepting any matter through the Platform.
You may not accept cases or provide legal advice in states or territories where you are not admitted, except as expressly permitted by applicable pro hac vice rules or multi-jurisdictional practice rules.
If you accept a matter that requires admission pro hac vice, you are solely responsible for obtaining that admission and complying with all associated court rules and fees.
In multi-state matters, you must comply with the ethics rules of each jurisdiction involved and determine which jurisdiction's rules govern under applicable conflict-of-law principles.
Law Hired does not verify jurisdictional eligibility for individual case matters; that determination is your sole professional responsibility.
3. Professional Responsibility Compliance
Your use of Law Hired is at all times subject to the professional responsibility rules and ethics obligations of your licensing jurisdiction(s), including but not limited to the ABA Model Rules of Professional Conduct as adopted and modified by your state bar.
Conflicts of Interest: You are solely responsible for conducting conflict-of-interest checks before accepting any matter through the Platform. Law Hired does not perform conflict checks on your behalf.
Competence: You agree to accept only matters for which you have the legal knowledge, skill, thoroughness, and preparation reasonably necessary for the representation, consistent with Model Rule 1.1.
Communication: You agree to keep clients reasonably informed about the status of their matter and respond promptly to client inquiries, consistent with Model Rule 1.4.
Candor and Honesty: You agree to maintain candor toward tribunals and third parties and to not make false statements of law or fact.
Supervision: If you use Law Hired in connection with a law firm or employ support staff, you are responsible for proper supervision in accordance with Model Rules 5.1 and 5.3.
Nothing in this Addendum or in the Platform's features modifies your independent professional obligations. Law Hired is a technology platform and does not practice law, provide legal advice, or supervise your legal services.
4. Anti-Solicitation Compliance
Law Hired operates as a neutral marketplace platform. Your presence and profile on Law Hired does not constitute direct solicitation under applicable bar rules; however, your individual communications with prospective clients may be subject to anti-solicitation rules depending on your jurisdiction.
You are solely responsible for ensuring that any communications you initiate with prospective clients through the Platform comply with the solicitation rules of your jurisdiction, including any applicable waiting periods following accidents or disasters.
The Platform's messaging and inquiry features must not be used to send unsolicited communications to prospective clients in a manner that violates Model Rule 7.3 or its state equivalents.
You may not offer contingency fee arrangements, gifts, or other inducements to prospective clients that violate applicable advertising or solicitation rules.
Law Hired does not verify that your client communications comply with anti-solicitation rules; that determination is your sole professional responsibility.
5. Fee Arrangements
All fee arrangements between you and clients obtained through Law Hired are governed by your professional obligations and applicable law. Law Hired does not set, negotiate, or guarantee any fees on your behalf.
Engagement Letter Required: You must execute a written engagement letter or fee agreement with each client prior to commencing substantive representation. The engagement letter must satisfy all applicable requirements under your jurisdiction's rules of professional conduct.
No Improper Fee Sharing: You may not share legal fees with any non-lawyer individual or entity, except as permitted under applicable rules. Law Hired's subscription is a software platform services fee for use of the technology platform and is not a fee-sharing arrangement with a non-lawyer.
Disclosure of Fees: You acknowledge that Law Hired charges a flat monthly subscription for use of the Platform and takes no percentage of the legal fees you collect. Your subscription price is disclosed on the Pricing page and in your Billing settings. Card payments are subject to the payment processor's standard fee, which is charged by Stripe rather than Law Hired.
Contingency Fees: If you accept contingency fee matters, your contingency fee agreements must comply with all applicable rules including written disclosure, percentage limitations, and client rights.
Fee Disputes: You are solely responsible for resolving fee disputes with clients. Law Hired does not mediate or arbitrate fee disputes between lawyers and clients.
6. AI Clone Terms
Law Hired offers an optional "AI Clone" feature that allows lawyers to create an AI-powered assistant trained on their profile, practice areas, and approved content to respond to initial client inquiries on their behalf. Use of this feature is subject to the following additional terms:
Consent and Activation: You must affirmatively enable the AI Clone feature. By enabling it, you consent to Law Hired using your profile data, practice area descriptions, and approved Q&A content to train and operate your AI Clone.
Accuracy Responsibility: You are solely responsible for the accuracy of the information your AI Clone communicates to prospective clients. You must review and update the content underlying your AI Clone regularly to ensure it remains accurate, current, and compliant with your professional obligations.
Mandatory Client Disclosure: Your AI Clone must clearly and prominently disclose to any prospective client that they are communicating with an AI assistant, not a licensed attorney, and that no attorney-client relationship is formed until you execute a written engagement agreement.
No Legal Advice: Your AI Clone may not provide legal advice, legal opinions, or jurisdiction-specific legal guidance. It is limited to informational responses about your practice, general legal concepts, and the intake process.
Right to Disable: Law Hired reserves the right to disable your AI Clone at any time if we determine that it is providing inaccurate information, violating professional conduct rules, or otherwise posing a risk to clients or the Platform.
Compliance: You are responsible for ensuring your AI Clone's operation complies with all applicable bar rules governing attorney advertising and technology-assisted communication.
7. Malpractice Insurance
Law Hired strongly recommends that all lawyers on the Platform maintain professional liability (malpractice) insurance in amounts appropriate for your practice. Where required by your state bar or applicable rules, malpractice insurance is mandatory.
You agree to truthfully disclose your malpractice insurance status in your profile settings where such disclosure is required by applicable bar advertising rules.
Law Hired is not responsible, directly or indirectly, for any claim of legal malpractice, negligence, or professional error arising from services you provide to clients obtained through the Platform.
Law Hired does not provide, arrange, or guarantee any malpractice insurance coverage for lawyers using the Platform.
If you do not carry malpractice insurance, you must disclose this to clients where required by law and in accordance with applicable professional rules.
8. Confidentiality and Data
You are solely responsible for maintaining the confidentiality of your clients' information in accordance with Model Rule 1.6 and any applicable state equivalents.
Data Processing Relationship: With respect to client data you store or transmit through the Platform, Law Hired acts as a data processor on your behalf. You, as the lawyer, are the data controller and are responsible for obtaining any necessary consents from clients for processing their data on a third-party platform.
Security Obligations: You agree to use the Platform's access controls and security features appropriately and to notify Law Hired promptly at legal@lawhired.com if you become aware of any unauthorized access to your account or client data.
No Waiver of Privilege: Use of the Platform and its communication tools does not waive attorney-client privilege or work product protection, provided that appropriate confidentiality measures are maintained.
Data Upon Termination: Upon termination of your account, please review our data retention and export policies to understand how to retrieve your client data before deletion.
Third-Party Integrations: If you connect third-party integrations (e.g., Google Calendar, document management systems) through the Platform, you are responsible for ensuring those integrations comply with your confidentiality obligations.
9. Subscription Fee Acknowledgment
By using Law Hired as a paying lawyer, you acknowledge and agree to the following fee structure:
Law Hired charges a flat monthly firm subscription as described on the Pricing page. Under the current Solo, Firm, and Scale plans, Law Hired takes 0% of the legal fees you collect through the Platform.
The subscription is a software platform services fee for use of the technology, platform access, and platform infrastructure — it is not legal fee splitting, a referral fee, or a fee-sharing arrangement with a non-lawyer.
When a client pays by card, the payment processor (Stripe) charges its own standard processing fee — currently approximately 2.9% + 30¢ per transaction. That fee is charged and retained by Stripe, not by Law Hired, and is passed through to the transaction in the same way as any merchant account.
Your subscription price is disclosed in your account Billing settings and may change with 30 days' prior written notice. Law Hired currently charges no percentage fee on your billings; introducing one would likewise require 30 days' prior written notice.
Subscription fees are non-refundable except as stated in the Billing Policy.
If you choose to pass processor fees or surcharges to clients, you are solely responsible for doing so in compliance with applicable law, card network rules, and your professional obligations, including appropriate client disclosure.
10. Bar Verification Process
Law Hired conducts bar verification for all lawyer accounts. The verification process operates as follows:
Upon registration, you will be prompted to submit your bar number, state of admission, and any additional licensing information. We may also request a copy of your bar card or official bar certificate.
We verify bar status through automated lookups against publicly available state bar databases and, where necessary, through direct inquiry with the relevant bar authority.
Verification typically completes within 1–3 business days, though complex or multi-state verifications may take longer.
During the verification period, your account may have limited functionality and you will not be eligible to receive payments through the Platform until verification is complete.
If verification cannot be completed or if discrepancies are found, we will notify you and may suspend your account pending resolution.
Verification of your bar admission does not constitute Law Hired's endorsement of your legal services or any representation regarding your competence, reputation, or fitness to practice.
11. Disciplinary Actions by Bar
You must notify Law Hired of any disciplinary action taken or initiated against you by any state bar, court, or regulatory authority within five (5) business days of receiving notice of such action. This notification obligation applies to:
Formal complaints or charges filed against you by a bar disciplinary authority.
Interim suspensions or emergency suspensions ordered by a bar or court.
Final disciplinary orders including public reprimands, suspensions, disbarment, or consent to discipline.
Court orders sanctioning you personally for professional misconduct.
Criminal charges or convictions, to the extent they may bear on your fitness to practice law.
Failure to timely notify Law Hired of disciplinary actions is itself a material breach of this Addendum. Upon receiving notice of a disciplinary action, Law Hired reserves the right to temporarily restrict your account access, place a hold on pending payments, require additional documentation, or terminate your account, depending on the nature and severity of the action.
12. Termination
Either party may terminate this Addendum and your lawyer account on Law Hired in accordance with the general Terms of Service. Upon termination, the following applies:
Pending Matters: You remain solely responsible for all pending client matters, regardless of whether your account is terminated. Termination of your Law Hired account does not relieve you of your professional obligations to clients with active engagements.
Client Notification: You are responsible for promptly notifying any clients with active matters of your account termination and for taking all steps necessary to protect their interests, including facilitating orderly transition of representation if you are unable to continue.
Data Retention and Export: Upon termination, Law Hired will provide you with a reasonable period (typically 30 days) to export your account data, including case files and client communications. After that period, your data may be deleted in accordance with our Privacy Policy and applicable data retention obligations.
Pending Payments: Any pending payments for completed work will be processed in the ordinary course. Payments subject to active disputes may be held pending resolution. Law Hired reserves the right to withhold amounts owed to us for unpaid subscription fees, chargebacks, or other obligations.
Profile Removal: Upon termination, your public lawyer profile will be removed from the marketplace. Client reviews associated with your profile will be removed or anonymized at Law Hired's discretion.
Survival: Provisions of this Addendum that by their nature should survive termination will do so, including confidentiality, fee obligations, indemnification, and dispute resolution.
